Terms of Service

1. Who can use Persynt

You must be at least 18 years old to use the Service. By using Persynt, you confirm that you are 18 or older and able to enter into this agreement.

You’re responsible for your account: provide accurate information, keep your credentials secure, and don’t share your account. You’re responsible for activity that happens under it. Tell us right away if you suspect unauthorized use.

2. What Persynt is

Persynt is a persona platform: it captures and compiles a model of your voice, judgment, and preferences so it can communicate as you (with your direction) and help other AI understand you. The Service is evolving and is offered during early access on an “as is” and “as available” basis.

3. Your persona and your content

You own your persona and the data behind it (“Your Content”), including the memories, writing, recordings, and inputs you provide. We do not claim ownership of your identity.

You grant us a limited, worldwide, royalty-free license to host, process, and use Your Content solely to operate and improve the Service for you — for example, to build, store, compile, and run your persona, and to provide the features you use. This license ends when you delete Your Content or your account, except for limited copies retained as described in our Privacy Policy or required by law.

We own the Service itself — the software, models, designs, and the intelligence layer that captures, compiles, and calibrates personas. Your persona profile and data are yours; the technology that powers Persynt is ours.

4. Personas of real people and consent

You may create or train a persona of yourself, or of another real person only if you have that person’s authorization or the legal right to do so (such as a legacy persona you’re entitled to create). You represent that you have the rights and consents needed for any content and any real-person persona you create, import, or license.

You may not use Persynt to impersonate someone without authorization, to deceive or defraud, or to misrepresent who is speaking.

5. Acceptable use

When using Persynt, you agree not to:

• Break the law or infringe others’ rights, including privacy and intellectual-property rights.
• Impersonate any person or entity without authorization, or create deceptive or fraudulent content.
• Harass, threaten, or harm others, or generate content that does.
• Upload malware, attempt to breach security, probe or scan the Service, or circumvent usage limits or protections.
• Reverse engineer, scrape, or copy non-public parts of the Service, or use it to build a competing product.
• Use the Service to generate spam or to violate another platform’s terms.

We may suspend or limit access to protect the Service or its users, and we may remove content that violates these Terms.

6. Licensing and the Commons

Persynt may let you license aspects of your persona or a Construct to others, and license others’ personas to you. If you license your persona out, you set the terms made available to you, and you can revoke access, which ends future use. You’re responsible for what you choose to license and for your use of anything you license from others. Persynt facilitates these arrangements but isn’t a party to them unless we say so in writing.

7. Third-party services and your own keys

The Service can connect to third parties — sign-in providers, platforms you import from, and AI providers, including when you bring your own provider key to run a Construct elsewhere. Those services are governed by their own terms and privacy policies, and we’re not responsible for them. Your use of a connected service is between you and that provider.

8. AI output — review before you rely on it

Persynt generates text and other output, including drafts written in your voice and content that may act on your behalf. AI output can be inaccurate, incomplete, or inappropriate for a given situation. You are responsible for reviewing output before you send, publish, or otherwise rely on it. Persynt does not provide legal, financial, medical, or other professional advice.

9. Fees

Persynt is currently offered free during early access. If we introduce paid plans, we’ll show pricing and terms before you’re charged, and any fees will be described at sign-up. Taxes may apply. We’ll give you notice of pricing changes as required by law.

10. Intellectual property

The Service, including its software, look and feel, and the “Persynt” name and logo, is owned by [LEGAL ENTITY] and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. If you send us feedback, you grant us a license to use it without obligation to you.

11. Privacy

Our Privacy Policy explains how we handle your information and the control you keep. By using the Service, you acknowledge that handling as described there.

12. Termination

You can stop using Persynt and delete your account at any time, and you can export your data first. We may suspend or terminate your access if you violate these Terms, if required by law, or if needed to protect the Service or others. On termination, your right to use the Service ends, and we’ll handle your data as described in the Privacy Policy. Sections that by their nature should survive — such as ownership, disclaimers, and limitations — will survive.

13. Disclaimers

To the fullest extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don’t warrant that the Service will be uninterrupted or error-free, or that output will be accurate or suitable for your purposes.

14. Limitation of liability

To the fullest extent permitted by law, Persynt and its affiliates won’t be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim or USD $100. Some jurisdictions don’t allow certain limitations, so some of these may not apply to you.

15. Indemnification

You agree to indemnify and hold harmless [LEGAL ENTITY] and its affiliates from claims, damages, and expenses arising out of your misuse of the Service, your violation of these Terms, or your violation of any law or third-party right, including claims related to content or personas you create, import, or license.

16. Governing law and disputes

17. Changes to these Terms

We may update these Terms as the Service changes. If we make material changes, we’ll post the updated Terms here, update the “Last updated” date, and notify you where appropriate. Your continued use after changes take effect means you accept the updated Terms.

18. General

These Terms and the policies referenced in them are the entire agreement between you and Persynt about the Service. If any provision is found unenforceable, the rest stays in effect. Our not enforcing a provision isn’t a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We aren’t liable for delays or failures caused by events beyond our reasonable control.
